14. GOVERNING LAW AND JURISDICTION

For clients residing outside the United States, specific engagement agreements may designate alternative governing laws and dispute resolution mechanisms, including arbitration under the rules of the International Chamber of Commerce (ICC) or other recognized bodies.
15. SEVERABILITY
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms shall continue in full force and effect. The invalidity of any one provision shall not invalidate the entire agreement.
The parties agree to negotiate in good faith to replace any invalid or unenforceable provision with a valid and enforceable provision that achieves, to the greatest extent possible, the original intent and economic effect of the invalid provision.
16. ENTIRE AGREEMENT AND NO WAIVER
